Acceptance of terms

These Terms and Conditions ("Terms") are a binding agreement between you and NeuroTrade, Inc. ("NeuroTrade", "we", "us"). They govern your access to and use of our websites, mobile applications, AI Assistant, and related services (together, the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract to use the Services.
• You must provide accurate information when creating an account and keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity under your account. Enable two-factor authentication and notify us immediately of any unauthorized use.
• You may not share an account or use another person's account without permission.

Not financial advice

NeuroTrade is a software and information service. We are not a broker-dealer, investment adviser, or financial planner, and nothing in the Services constitutes investment, financial, legal, or tax advice, or a recommendation, offer, or solicitation to buy or sell any security or other asset.

Strategies, backtests, ratings, sentiment scores, and AI summaries are provided for informational and educational purposes only. Past performance, including backtested or hypothetical performance, does not guarantee future results. Investing involves risk, including the possible loss of principal. Before making any investment decision you should do your own research and consider consulting a licensed professional.

AI-generated content

The AI Assistant and other features generate content using machine-learning models. AI output can be incomplete, inaccurate, or out of date, and may not reflect the most recent market data. We do not guarantee the accuracy, completeness, or timeliness of any AI-generated content, and you should verify important information independently before acting on it.

You retain ownership of the questions and content you submit. You grant NeuroTrade a licence to use your inputs and the resulting outputs to provide, secure, and improve the Services, consistent with our Privacy Policy.

Brokerage connections

If you connect a brokerage or bank account, you authorize NeuroTrade and our data-aggregation partner to access your account information on a read-only basis so we can display holdings, analyze your portfolio, and generate alerts. NeuroTrade cannot execute trades or transfer funds. Your relationship with your brokerage is governed solely by your agreement with that institution, and we are not responsible for its services, outages, or errors.

Plans, trials, and billing

• Plans. The Services are offered on Free, Plus, and Pro plans. Features included in each plan are described on our Pricing page and may change over time.
• Free trials. Paid plans may include a free trial. If you do not cancel before the trial ends, your subscription will begin and you will be charged for the plan you selected.
• Billing. Subscriptions are billed in advance on a monthly or annual basis and renew automatically until cancelled. Prices are shown in US dollars and exclude applicable taxes unless stated otherwise.
• Changes and cancellation. You can upgrade, downgrade, or cancel at any time in your account settings. Changes take effect at the start of your next billing cycle. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods.
• Price changes. We may change our prices with at least 30 days' notice. Continued use after the change takes effect constitutes acceptance of the new price.

Acceptable use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any securities, market-manipulation, or anti-fraud laws.
• Scrape, crawl, or use automated means to extract data from the Services, or resell or redistribute our content or data without written permission.
• Reverse engineer, decompile, or attempt to derive the source code, models, or algorithms underlying the Services.
• Interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access to any account, system, or network.
• Submit content that is unlawful, infringing, abusive, or that contains malware.
• Use the Services to develop a competing product or to train machine-learning models.

Intellectual property

The Services, including all software, designs, text, graphics, strategies, models, and trademarks, are owned by NeuroTrade or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal, non-commercial use. All rights not expressly granted are reserved.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.

Third-party services and data

The Services display market data, news, and other content from third-party providers and may link to third-party websites. We do not control and are not responsible for third-party content, and its inclusion does not imply endorsement. Market data may be delayed and is provided "as is". Your use of third-party services, including Plaid and your brokerage, is subject to their own terms and policies.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY INSIGHT, STRATEGY, ALERT, OR AI OUTPUT WILL BE ACCURATE, TIMELY, OR PROFITABLE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEUROTRADE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENT LOSSES, TRADING LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless NeuroTrade and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to your use of the Services, your content, or your violation of these Terms or any law.

Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services, and we will make reasonable efforts to notify you. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration administered by a recognized arbitration provider, except that either party may seek injunctive relief in court for infringement of intellectual-property rights. You and NeuroTrade waive any right to a jury trial and to participate in a class action. You may opt out of this arbitration provision by emailing [email protected] within 30 days of first accepting these Terms.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services at least 14 days before they take effect. Your continued use after that date means you accept the updated Terms. The "Last updated" date at the top of this page shows the most recent revision.
